It's not about wether the CPU is unlocked or no, it's about the chipset, H97 is meant to not allow any kind of overclocking (it doesn't have anything to do with hardware all you need is for the manufacturer to release a BIOS that says 'you can overclock' to the chipset), except for GPU overclocking, so no CPU or memory OCing, Z97 is meant for overclocking both CPU (you'll need a K series SKU to be able to overclock) and memory so you'll be able to overclock you RAM regardless of any other factor but your memory's ability to overclock.
TL;DR: H97 doesn't allow overclocking memory and CPU because it's meant to not support overclocking.
